B2B & Partnership Policy

This B2B & Partnership Policy ("Policy") governs all business-to-business engagements entered into by Mathur Media ("Company", "we", "us", "our"), including but not limited to agency tie-ups, referral partnerships, reseller/white-label arrangements, corporate training tie-ups, franchise-style associations, and vendor/affiliate collaborations. By entering into any written agreement, purchase order, or verbal confirmation of a B2B engagement with Mathur Media, the partner ("Partner", "Client", "Vendor", or "Associate") agrees to be bound by this Policy in addition to any specific Service Agreement signed between the parties.
1. Scope of B2B Engagements
Mathur Media enters into the following categories of B2B relationships:
- Agency Tie-Ups: Businesses engaging Mathur Media's agency division for SEO, Google Ads, social media marketing, website development, or full-service digital marketing on a retainer or project basis.
- Corporate Training Partnerships: Companies, colleges, or institutions engaging Mathur Media Academy for bulk enrollment, corporate upskilling, or campus training programs.
- Referral & Affiliate Partnerships: Individuals or businesses referring students or clients to Mathur Media in exchange for a commission or referral fee.
- Reseller / White-Label Arrangements: Partners reselling Mathur Media's agency services or course content under their own brand, subject to a separate written agreement.
- Hiring & Placement Partnerships: Companies engaging with Mathur Media Academy for hiring, internships, or placement of trained students.
- Vendor & Technology Partnerships: Third-party tools, platforms, or service providers integrated into Mathur Media's operations.
2. Onboarding & Due Diligence
All B2B partners must complete Mathur Media's onboarding process before any engagement begins, which includes:
- Submission of valid business details — GSTIN, PAN, company registration, or equivalent proof of business identity.
- A signed Service Agreement, Statement of Work (SOW), or Partnership Agreement clearly defining scope, deliverables, timelines, and commercials.
- Verification of authorized signatories and points of contact for both parties.
Mathur Media reserves the right to decline, pause, or terminate onboarding of any partner without assigning a reason, particularly where there is a conflict of interest, reputational risk, or non-compliance with applicable law.
3. Scope of Work & Deliverables
Every B2B engagement is governed by its own Service Agreement or Statement of Work, which shall take precedence over this Policy in case of conflict on commercial or scope-specific terms. In the absence of a specific written agreement, the terms of this Policy shall apply by default. Any change in scope, deliverables, or timelines must be documented via written change request and mutually approved before implementation. Verbal instructions or informal messages (WhatsApp, calls) will not be treated as valid scope changes unless confirmed in writing over email.
4. Payment Terms
- Advance/Retainer: Agency and training engagements typically require a 40–50% advance before work commences, unless otherwise agreed in writing.
- Invoicing Cycle: Monthly retainers are invoiced at the start of each service month; project-based work is invoiced per agreed milestones.
- Payment Due Date: All invoices are due within 7 business days of issue unless a different credit period is explicitly agreed in the Service Agreement.
- Late Payment: Delayed payments beyond 15 days may result in suspension of services/ad campaigns without prior notice, and may attract a late fee of up to 2% per month on the outstanding amount.
- Ad Spend & Third-Party Costs: Any advertising spend (Google Ads, Meta Ads), tools, licenses, or third-party costs are billed separately and are non-refundable once spent on the platform.
- Referral Commissions: Commissions to referral partners are calculated only on successfully realized (fully paid) enrollments/deals and are disbursed within 30 days of receipt of full payment from the referred client/student.
- Taxes: All commercials are exclusive of applicable GST/TDS unless explicitly stated as inclusive.
5. Lead & Client Ownership
For referral and affiliate partnerships, the following ownership rules apply:
- A lead is considered "owned" by the referring partner only if it was not already present in Mathur Media's database (website enquiry, ad lead, walk-in, or existing client) at the time of referral.
- Duplicate leads, self-referrals, or referrals of existing Mathur Media clients/students do not qualify for commission.
- Once a client/student engages directly with Mathur Media, all future renewals, upsells, or repeat business with that client are owned by Mathur Media, unless otherwise agreed in writing for a defined commission period.
- Mathur Media reserves the right to independently verify the source of every referred lead before approving commission payout.
6. Exclusivity & Non-Compete
Unless expressly stated as "exclusive" in a signed agreement, all B2B partnerships with Mathur Media are non-exclusive, and Mathur Media may enter into similar partnerships with other businesses, agencies, or individuals in the same city, category, or industry. Where exclusivity is granted, it shall be limited to the specific geography, service category, and time period defined in the agreement, and shall not extend beyond it.
7. Confidentiality
Both parties agree to keep confidential all non-public business information exchanged during the engagement, including but not limited to client lists, pricing, campaign data, marketing strategies, course curriculum, trade secrets, and financial terms. This obligation survives termination of the partnership for a period of 2 years. Confidential information may only be disclosed where required by law or with the prior written consent of the disclosing party.
8. Intellectual Property
All strategies, creatives, course content, brand assets, frameworks, and proprietary tools developed or used by Mathur Media remain the exclusive intellectual property of Mathur Media, regardless of the B2B engagement, unless explicitly transferred in writing as a "work-for-hire" deliverable under a specific Service Agreement. Reseller/white-label partners may not claim ownership of, or remove attribution from, any underlying Mathur Media system, tool, or content without prior written consent.
9. Performance & No Guarantee of Results
Mathur Media agency services are delivered on a best-effort, professional-standard basis. While we set realistic targets and provide transparent reporting, we do not guarantee specific business outcomes (leads, sales, rankings, followers, revenue) as these depend on multiple external factors including market conditions, competitor activity, platform algorithm changes, and the Partner's own product/pricing/operations. Similarly, corporate training and hiring partnerships do not guarantee specific placement numbers or candidate quality beyond the agreed screening criteria.
10. Reporting & Communication
Mathur Media provides periodic performance reports (weekly/monthly, as agreed) for agency engagements and progress updates for training/placement partnerships. Partners are expected to designate a single point of contact (SPOC) for smooth communication. Response time for standard queries is within 2 business days; urgent operational issues are addressed within 24 hours during working days (Mon–Sat, 9 AM – 7 PM IST).
11. Term & Termination
- Notice Period: Either party may terminate an ongoing B2B engagement with 30 days' written notice, unless a different notice period is specified in the Service Agreement.
- Immediate Termination: Mathur Media may terminate an engagement immediately, without notice, in cases of non-payment beyond 30 days, breach of confidentiality, reputational harm, illegal use of our brand/content, or any conduct that violates applicable law.
- Effect of Termination: Upon termination, all outstanding dues must be settled within 15 days, active ad accounts/access will be handed over or paused as per agreement, and the Partner must immediately cease use of Mathur Media's brand name, logo, and proprietary materials.
- Advance Payments: Advance payments for work not yet delivered will be settled/refunded on a pro-rata basis as per the governing Service Agreement; amounts corresponding to work already completed or ad spend already utilized are non-refundable.
12. Branding & Public Communication
Partners may not use Mathur Media's name, logo, testimonials, or case study data in their own marketing without prior written approval. Any joint press release, case study, or public announcement regarding the partnership must be mutually reviewed and approved by both parties before publication.
13. Limitation of Liability
Mathur Media's total liability arising out of any B2B engagement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Partner to Mathur Media in the three (3) months preceding the event giving rise to the claim. Mathur Media shall not be liable for indirect, incidental, or consequential damages, including loss of profit, loss of business opportunity, or reputational loss.
14. Indemnification
Each party agrees to indemnify and hold harmless the other party, its directors, employees, and representatives from any claims, damages, or liabilities arising from a breach of this Policy, misrepresentation, or violation of applicable law by that party.
15. Force Majeure
Neither party shall be held liable for delay or failure in performance caused by circumstances beyond reasonable control, including natural disasters, government action, internet/server outages, or platform-level disruptions (e.g., Google/Meta ad account restrictions not attributable to Mathur Media's conduct).
16. Governing Law & Dispute Resolution
This Policy and all B2B engagements are governed by the laws of India. Any disputes shall first be addressed through good-faith negotiation between the parties within 30 days. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Agra, Uttar Pradesh, India.
17. Amendments
Mathur Media reserves the right to update this Policy from time to time to reflect changes in business practices or applicable law. The updated Policy will be posted on this page with a revised "Last Updated" date. For active partnerships, material changes affecting commercials will be communicated in writing and will apply prospectively.
